The Offers were made under the Offer to Purchase, dated June 16, 2026 (the “Offer to Purchase”). Capitalized terms used but not defined in this news release have the meanings given to them in the Offer to Purchase. The Offers expired at 5:00 p.m., New York City time, on June 23, 2026 (the “Expiration Date”).
