1. Q: Merger and acquisition (M&A) and reorganization is one of the main ways for the capital market to optimize resource allocation and to support the high-quality development of the real economy. Under the circumstances that China's economic development is in the face of a complicated external environment and the downward pressure, how to give full play to the functions of the system of M&A and reorganization has been an important task for the capital market to serve China’s overall strategy. Can you brief us on the general situation of M&A and reorganization on the Shanghai Stock Exchange (SSE) market in 2018?

A: In 2018, China's economy has maintained a good momentum characterized by overall stability with steady progress, mixed with new and worrisome developments, and the external environment is complex and grave, with the economic operation facing downward pressure. Experiencing difficulties at the current stage, some listed companies are in the face of the tasks for structural adjustment, transformation and upgrading that are more urgent than before, making it necessary to give better play to the role of the capital market in serving the real economy. As an important way to optimize resource allocation in the capital market, M&A and reorganization is important in supporting the listed companies’ efforts to accelerate transformation and upgrading, resist risks and challenges and achieve high-quality development.

B3’s Mini Ibovespa Futures Contract hit a record high today ending the day at 7.305.927 contracts. The previous record of 7.094.542  contracts for Mini Ibovespa Futures Contract was recorded on February 7^th  2019. Today the Mini Ibovespa Futures Contract hit another record high, with 1.997.519 trades. The previous record of 1.964.099  trades was recorded on February 7^th 2019.

Thank you, Thom [Lambert], for that kind introduction. I am delighted to be part of this conference, but am sorry that I cannot be there in person. I had high expectations when I picked up Thom’s book on regulation shortly after it first came out several years ago. Those expectations were exceeded by the clear and compelling way in which the book wrestles with the difficulties faced by regulators as they seek to design regulations that solve problems without creating larger problems in the process. As the book explains, “regulation . . . always involves trade-offs. The $64,000 question is how policymakers should proceed to ensure that they strike those trade-offs in a manner that creates as much social welfare as possible.” I appreciate the book even more now that I am sitting in a regulator’s seat. Incidentally, as a regulator, I must give the standard disclaimer that the views I express today are my own and do not necessarily represent those of the Securities and Exchange Commission or my fellow Commissioners.

M&A activity among global exchanges flickered into life at the end of 2018 when large shareholders in Oslo Bors pitched to be bought out by Euronext. In mid January Euronext launched a formal bid to acquire Oslo Bors. The flickering M&A flame became more intense when at the end of January Nasdaq made an offer to acquire Oslo Bors, setting it on a collision course with Euronext. Oslo Børs's board considers Nasdaq's offer the best alternative for all stakeholders and unanimously recommends that shareholders accept the offer and not accept Euronext's.
