Abu Dhabi Global Market And PwC Collaborate On FinTech Abu Dhabi Summit

Abu Dhabi Global Market (ADGM), the international financial centre in Abu Dhabi, is pleased to partner with PwC to launch the inaugural FinTech Abu Dhabi Summit in October 2017. The FinTech Abu Dhabi Summit, to be organised alongside with key Abu Dhabi institutions and industry partners, is part of ADGM’s FinTech initiatives and line-up of local and international activities which kicked off in November 2016 and to continue for the rest of 2017. The FinTech Abu Dhabi series of events is an extension of ADGM’s commitment to bring together local and global financial institutions, FinTech start-ups and participants, investors, regulatory agencies and the business community to network, collaborate and exchange expertise and knowledge in FinTech developments in Abu Dhabi, the wider MENA region and internationally.

Recommended All-Share Merger Between London Stock Exchange Group Plc And Deutsche Börse AG - Termination Of The Merger Following EC Decision

London Stock Exchange Group plc ("LSEG") today announces that the European Commission ("Commission") has notified LSEG, Deutsche Börse AG ("Deutsche Börse") and HLDCO123 PLC ("HoldCo") of its decision to prohibit the recommended all-share merger between LSEG and Deutsche Börse (the "Merger"). The Merger is subject to certain Conditions, including one that relates to the European Commission (the "EC Merger Control Condition"). The EC Merger Control Condition is LSEG Condition 4 to the LSEG Acquisition as set out in Part IV of the Scheme Document and is Deutsche Börse Condition B.7 to the Deutsche Börse Acquisition as set out in Section 14.1 of the Exchange Offer Document. The EC Merger Control Condition to the Merger has become incapable of being satisfied and consequently, the Merger will not proceed to Completion. Accordingly, the proposed Scheme of Arrangement of LSEG and the proposed Exchange Offer for Deutsche Börse Shares have lapsed, and the Cooperation Agreement has been terminated.

Today, the EU Commission informed Deutsche Börse AG and the London Stock Exchange Group plc that it has decided to prohibit the planned merger of the two companies in spite of the remedial measures offered by both companies.

European Commission Blocks Proposed Merger Between Deutsche Börse And London Stock Exchange

The European Commission has prohibited the proposed merger between Deutsche Börse AG and London Stock Exchange Group under the EU Merger Regulation. The Commission's investigation concluded the merger would have created a de facto monopoly in the markets for clearing fixed income instruments.
