The London Stock Exchange today called on the Government to avoid legislating on corporate governance in the UK, arguing that it would be more effective to promote high standards of best practice by reinforcing existing arrangements.

The extraordinary shareholders' meeting of Borsa Italiana Spa resolved yesterday to increase the legal capital by an aggregate maximum of €1,158,179.36 through the issue of a maximum of 2,227,268 new ordinary shares with a nominal value of €0.52 each and a total surcharge of €58.3436, reserved for Monte Titoli's shareholders.

The Securities and Exchange Commission today filed civil fraud charges against three former top executives of Tyco International Ltd., including former CEO L. Dennis Kozlowski, alleging that they failed to disclose multi-million dollar low interest and interest-free loans they took from the company, and in some cases, never repaid.
