  • Securities And Exchange Commission Calendars Proposed Amendment To Rule 14a-8 Governing Director Nominations By Shareholders

    The Securities and Exchange Commission today announced that the Division of Corporation Finance will recommend an amendment to Rule 14a-8 under the Securities Exchange Act of 1934 concerning director nominations by shareholders. The staff proposal, still to be developed, will address issues raised by a decision of the U.S. Court of Appeals for the Second Circuit on Tuesday, which disagreed with the Commission staff's longstanding interpretation of Rule 14a-8.

    Rentokil and Schroders will exit the FTSE 100 after more than ten years following FTSE Group’s (FTSE’s) latest UK index series review. Insurer Standard Life, which listed on the London Stock Exchange in July, will enter the FTSE 100 and be joined by fund manager Resolution, which will be promoted from the FTSE 250.

The report includes trading in all markets as reported to the NYSE for Aug. 28-Sept.1. 1The NYSE calculates program trading as the sum of shares bought, sold and sold short in program trades. The total of these shares is divided by the sum of shares bought, sold and sold short on the NYSE including its crossing sessions.
