  • The General Court Confirms The Commission’s Decision Prohibiting The Proposed Merger Between Deutsche Börse And NYSE Euronext

    Deutsche Börse and NYSE Euronext are companies which are active in the financial markets sector. On 29 June 2011, they notified the Commission of a proposed merger which involved the creation of a company incorporated under Netherlands law of the name HoldCo. HoldCo was to acquire, by way of a public tender offer, all of the outstanding shares issued by Deutsche Börse, in exchange for its own shares. Following the closure of the offer, a newly-formed company, incorporated under United States law and wholly owned by HoldCo, was to merge with NYSE Euronext, which was to become a wholly-owned subsidiary of HoldCo.

  • Mergers: European Commission Welcomes General Court Judgment Upholding Its Prohibition Of The NYSE Euronext/Deutsche Börse Merger

    The European Commission welcomes today's judgment by the General Court (case T-175/12) which fully upholds the Commission's 2012 decision under the EU Merger Regulation to prohibit the proposed merger between Deutsche Börse and NYSE Euronext. The judgment is important because it confirms that the merger would have eliminated healthy competition between trading and clearing platforms in Europe and that the Commission acted properly by prohibiting it. The merger would have caused significant harm to worldwide users of European financial derivatives and to the European economy as a whole.

    Twenty five years ago on March 9th, 1990 the first ETF was listed in Canada on the Toronto Stock Exchange: the TIPs (Toronto 35 Index Participation Fund) tracking the TSX 35 index. The TIPS ETF listed nearly three years before the first ETF the SPDR S&P 500 ETF (SPY) was listed in the United States on January 29, 1993.
