SEC Re-Proposes Amendments To Exemption From National Securities Association Membership - Amendments Would Enhance FINRA Oversight Of Firms That Trade Securities Proprietarily Across Markets

The Securities and Exchange Commission today re-proposed rule amendments that would narrow the exemption from Section 15(b)(8) of the Securities Exchange Act, which requires any broker or dealer registered with the Commission to become a member of a national securities association unless the broker or dealer effects transactions in securities solely on an exchange of which it is a member. FINRA currently is the only registered national securities association.

Today, the Commission unanimously voted to re-propose amendments to Rule 15b9-1 regarding when broker-dealers are required to register with the Financial Industry Regulatory Authority (FINRA). These amendments would cause some of the most active participants in our equity and fixed-income markets to be required to register with FINRA. I was pleased to support these amendments because, if adopted, they would modernize and improve market oversight for regulators.

Today the Commission is re-proposing, in slightly modified form, amendments to Exchange Act Rule 15b9-1. As with the 2015 proposal, this re-proposal would significantly narrow an exemption from the requirement that broker-dealers register with a national securities association. Because FINRA currently is the only national securities association registered with the Commission, the proposed amendments, as a practical matter, would require affected broker-dealers to become FINRA members.

Nadex Temporarily Amends Binary Contracts Strike Width

Pursuant to Section 5c(c)(1) of the Commodity Exchange Act, as amended (“Act”), and Section 40.6(d) of the regulations promulgated by the Commodity Futures Trading Commission (the “Commission”) under the Act (the “Regulations”), North American Derivatives Exchange, Inc. (“Nadex”, the “Exchange”) hereby provides notice that due to increased or decreased volatility, as the case may be, in the underlying markets upon which the Nadex contracts are based, Nadex made changes to the strike widths of various contracts during the week of July 25, 2022 as indicated in the Weekly Notice.

I commend staff’s hard work on this matter and their meticulous review of the capital and financial reporting requirements in Japan, as well as their outstanding cooperation with the Financial Services Agency of Japan (JFSA).
