  • Canadian Securities Regulators Propose New Crowdfunding Exemptions

    The Autorité des marchés financiers (AMF), the Financial and Consumer Affairs Authority of Saskatchewan (FCAA), Financial and Consumer Service Commission of New Brunswick (FCNB), the Manitoba Securities Commission (MSC) and the Nova Scotia Securities Commission (NSSC) today published for comment the Integrated Crowdfunding Prospectus Exemption (the Crowdfunding Exemption) and the Start-Up Crowdfunding Prospectus and Registration Exemption (the Start-Up Exemption). The proposed exemptions would, subject to certain conditions, allow both reporting and non-reporting issuers to raise money by distributing securities through internet portals.

    The U.S. Commodity Futures Trading Commission (CFTC) filed an enforcement action March 19, 2014 against Defendant Steven Lyn Scott (a/k/a Stevon Lyn Scott) of Dallas, Texas, charging him with solicitation fraud, misappropriation of customer funds, and registration violations in connection with operating a fraudulent commodity pool scheme.

    Introduction

    Thank you for that kind introduction and the invitation to speak today at what will be my debut on the international stage as the Director of the Division of Corporation Finance.  While I had the pleasure of being in London during my prior life in private practice, this is my first trip abroad in my new role and, more importantly, my first opportunity to use my newly-printed U.S. government employee passport, which, to my great disappointment, did not usher me immediately to the head of the queue at Passport Control when I arrived at the airport yesterday.

    European Parliament negotiators on Thursday reached a deal with their member state counterparts on the single resolution mechanism to deal with failing banks. Many elements fell into place early in the morning after 16 hours of talks. The elements agreed will help to ensure that the system cannot become a hostage to political power games and can deliver swift and credible decisions.
