Hong Kong Securities And Futures Commission: Three Sophisticated Ramp-And-Dump Cases Transferred To District Court
The Eastern Magistrates’ Court today granted the applications made on behalf of the Secretary for Justice to transfer three large scale and sophisticated ramp-and-dump cases to the District Court for trial following joint investigations by the Securities and Futures Commission (SFC) and the Police.

"Shenzhen Stock Exchange · Chuangxianghui" Held Special Event On M&A Restructuring To Help Cultivate And Develop New Quality Productive Forces
On May 9, to implement the new "Nine National Rules", SZSE held the 15th "Chuangxianghui" forum, focusing on the main channel function of capital market in M&A restructuring. The Financial Markets Authority (FMA) – Te Mana Tātai Hokohoko – and the External Reporting Board – Te Kāwai Ārahi Pūrongo Mōwaho (XRB) – have jointly produced a set of guides designed to help people understand the Climate-related Disclosures (CRD) regime and the information being provided in climate statements which are now starting to be published by climate reporting entities.

As we have noted before, the Commission in recent years has taken to treating Exchange Act Section 13(b)(2)(B)’s internal accounting controls provision as a Swiss Army Statute to compel issuers to adopt policies and procedures the Commission believes prudent. Identifying a link between the Commission’s preferred policies and procedures and accounting controls seems a collateral concern, if it is a concern at all. In today’s settled administrative proceeding against R.R. Donnelly & Sons, Co. (“RRD”), the Commission finds and uses a novel attachment on its multi-use tool—“a system of cybersecurity-related internal accounting controls.”

SIFMA: Incentive Compensation Document Invalid, Even More Prescriptive Than Prior Version
A recent issuance from the OCC, FDIC, NCUA and FHFA attempting to resuscitate a long-stalled proposal on incentive compensation practices under section 956 of the Dodd-Frank Act does not include the full set of financial regulatory agencies required to propose such a rule and therefore has no legal effect, the American Bankers Association, Bank Policy Institute, Financial Services Forum and SIFMA wrote in a joint letter.
