I continue to think that these basic inquiries can be useful guides for regulators, helping us to focus on the questions we need to answer when adopting regulations and guidance. This is equally true for the regulations under Title XV before us today.

Next, we will consider adoption of final rules to implement Section 1504 of the Dodd-Frank Act. Section 1504 added Section 13(q) to the Exchange Act, which requires the Commission to issue final rules that require each resource extraction issuer to include in an annual report information relating to any payment made by the resource extraction issuer, a subsidiary of the resource extraction issuer, or an entity under the control of the resource extraction issuer to a foreign government or the Federal Government for the purpose of the commercial development of oil, natural gas, or minerals.

Prior to a business combination, the tender offer for shares of Osaka Securities Exchange Co., Ltd. commenced by Tokyo Stock Exchange Group, Inc. on July 11, 2012 and completed on August 22, 2012 has been effected. Creation of a combined holding company, "Japan Exchange Group, Inc. (tentative name)", on January 1st next year following a closing of the merger, whereby OSE will be the surviving company, is now in prospect.
