From 2017 through 2022, GHS Investments, LLC (GHS) acquired convertible, variable rate notes from penny stock securities issuers, converted the notes into stock at a substantial discount from the prevailing market price, and sold the resulting shares into the public market to obtain profits. The Commission has issued an order that finds that such activities made GHS a dealer under Securities Exchange Act of 1934 (Exchange Act) and GHS’s failure to register as a dealer violated Section 15(a)(1) of that Act. I dissent from this order because it appears that the Commission is attempting to achieve policy objectives through enforcement, instead of rulemaking, while also arbitrarily deciding which activities necessitate enforcement action.

CFTC Orders Brazilian And Swiss Sugar Companies To Pay $750,000 For Wash Sales

The Commodity Futures Trading Commission today issued an order simultaneously filing and settling charges against respondents Raizen Energia SA, a Brazilian energy company and sugar merchant, and Raizen Trading SA, a Swiss sugar merchant, for engaging in wash sales and non-competitive transactions. The order requires the respondents jointly and severally to pay a $750,000 civil monetary penalty. The respondents admit the facts detailed in the order and are ordered to cease and desist from further violations of the Commodity Exchange Act and CFTC regulations, as charged.

Race To The Bottom For Market Data Reform - By Kelvin To, Founder And President Of Data Boiler Technologies

The UK and EU are trying to catch up with the US in building their respective Consolidated Tapes (CT). The US has no intention to slow down and wait for the Europeans in market data reforms. Yet, the US D.C. Circuit ruling in July 2022 weakens the already weak proposition of the SEC’s governance requirements over the equity CT-Plan. The US decentralized competing model (DCM) of 2/3 Self-Regulatory Organizations (SROs) and 1/3 non-SROs representation in the operating committee cannot be executed. The SEC prescribed minimum terms and conditions (T&C) for CT-Plan Version 2 in replacing the non-SRO representation provisions are ineffective (see this). The SEC has until September 21, 2024, to determine whether to approve or disapprove it.

SEC Charges Carl Icahn And Icahn Enterprises L.P. For Failing To Disclose Pledges Of Company’s Securities As Collateral For Billions In Personal Loans

The Securities and Exchange Commission today announced charges against Carl C. Icahn and his publicly traded company, Icahn Enterprises L.P. (IEP), for failing to disclose information relating to Icahn’s pledges of IEP securities as collateral to secure personal margin loans worth billions of dollars under agreements with various lenders. IEP and Icahn agreed to pay $1.5 million and $500,000 in civil penalties, respectively, to settle the SEC’s charges.
