HKEX: Exchange Defers Corporate WVR Beneficiary Consultation

The Stock Exchange of Hong Kong Limited (the Exchange), a wholly-owned subsidiary of Hong Kong Exchanges and Clearing Limited (HKEX), has decided not to launch a consultation (Corporate WVR Consultation) on a proposal to allow corporate entities as weighted voting rights (WVR) beneficiaries at this time as initially planned. The Exchange will continue to engage with relevant stakeholders and work on the proposal.

Companies have a number of options to raise capital. Some raise capital through the sale of stock, some through the sale of debt, and others choose to do both. Even within these broad categories, there are numerous options. One method, for instance, is for a parent company to issue debt that is guaranteed by one or more of its subsidiaries. Another method is the flip of that—for the parent company to guarantee debt issued by one or more of its subsidiaries. Such arrangements can occur in the private markets or the public markets. When publicly issuing guaranteed debt, current Commission rules require a company to provide investors with detailed information about the nature and extent of the guarantees by requiring disclosure of both financial and non-financial information about the guaranteeing entities.

SEC Proposes Rules To Simplify And Streamline Disclosures In Certain Registered Debt Offerings

The Securities and Exchange Commission today voted to propose rule amendments to simplify and streamline the financial disclosure requirements applicable to registered debt offerings for guarantors and issuers of guaranteed securities, as well as for affiliates whose securities collateralize a registrant’s securities.

CFTC Issues Proposal To Streamline Regulations For Swap Dealers, Help End Users

The Commodity Futures Trading Commission (CFTC) today issued a proposal approved unanimously by the Commission to reduce unnecessary burdens on registrants and market participants by simplifying overly complex notification provisions, thereby reducing certain intricate and prescriptive requirements that have been found to provide little or no benefit.

Statement Of Concurrence Of CFTC Commissioner Rostin Behnam Regarding Segregation Of Assets Held As Collateral In Uncleared Swap Transactions; Amendments

I respectfully concur with the Commodity Futures Trading Commission’s (the Commission or CFTC) approval of its proposed rule (Proposal) regarding amendments to subpart L of the Commission’s Regulations (Segregation of Assets Held as Collateral in Uncleared Swap Transactions” consisting of Regulations 23.700 through 23.704), which implement Section 4s(l) of the Commodity Exchange Act (CEA or the Act). While I have strong reservations about the Commission’s proposed interpretation of CEA Section 4s(l) and its slash and burn approach to “simplify” requirements for swap dealers (SDs) and major swap participants (MSPs) absent meaningful consideration of the impact on swap counterparties, I am hopeful that the Proposal’s solicitation of comments on these key points will produce a balanced record from which to adopt a final rule that more precisely simplifies the current requirements and provides tailored regulatory relief.

At the end of the settlement date of July 13, 2018, short interest in 2,353 Nasdaq Global Marketâ„ securities totaled 7,298,561,701 shares, compared with 7,435,196,979 shares in 2,348 Global Market issues reported for the prior settlement date of June 29, 2018. The mid-July short interest represents 4.42 days average daily Nasdaq Global Market share volume for the reporting period, compared with 3.65 days for the prior reporting period.

Statement Of CFTC Chairman J. Christopher Giancarlo Regarding The Proposed Rule On Segregation Of Assets Held As Collateral In Uncleared Swap Transactions

After more than four years of administering the final rules in subpart L of Part 23 (Commission Regulations 23.700-704), CFTC staff have observed that the detailed requirements of these regulations have been difficult and burdensome for swap dealers to satisfy. The requirements have also caused some confusion by end user counterparties who rely on our markets to hedge commercial risk. These observations were supported by comments made in response to the Commission’s Project KISS initiative.

Therefore, the b3.com.br address will will integrate the tools, activities and data previously contained in the Company’s websites, allowing integrated access to data on all the markets in which we operate.
