London Stock Exchange Group plc: Variation Of Lock-Up Arrangements

London Stock Exchange Group plc ("LSEG" or the "Company") notes the announcement by BCP York Holdings (Delaware) L.P. (an entity owned by a consortium of certain investment funds affiliated with Blackstone Inc. and including an affiliate of Canada Pension Plan Investment Board, an affiliate of GIC Special Investments Pte. Ltd. and certain other co-investors) ("BCP York"), York Holdings II Limited ("York Holdings II") and York Holdings III Limited ("York Holdings III" and together with York Holdings II, the "York Entities")) (entities owned by BCP York, Thomson Reuters and certain other minority holders) (BCP York, York Holdings II and York Holdings III together, the "Consortium") in relation to a proposed placing to institutional investors (the "Proposed Placing"), directed buyback and concurrent sale of call options in respect of, in aggregate, approximately 43,100,000 shares in the Company (together, the "Transaction"). SEC Approves Funding Amendment To National Market System Plan Governing The Consolidated Audit Trail

The Securities and Exchange Commission today approved an amendment to the National Market System Plan governing the Consolidated Audit Trail (CAT) (the “CAT NMS Plan”) to adopt a revised funding model, called the “Executed Share Model,” for the CAT and establish a fee schedule for CAT fees for the self-regulatory organizations that are participants to the CAT NMS Plan in accordance with the Executed Share Model.

Today, the Commission is considering whether to approve self-regulatory organizations’ amendments to the 2016 National Market System Plan that established the Consolidated Audit Trail (CAT). These amendments would modify the method by which allowable costs associated with building and operating the CAT are allocated. Commission rules provide that we shall approve amendments to an effective NMS Plan if they are, among other things, “necessary or appropriate in the public interest, for the protection of investors and the maintenance of fair and orderly markets.” I support the staff recommendation that the SROs’ NMS Plan amendments be approved as I believe they satisfy the requirements under the Exchange Act and the Commission’s Rule 608.

Global Green Bond Initiative Strengthened By A New Strategic Partnership To Foster Green Capital Markets

The coalition of development finance institutions and multilateral organisations making up the Global Green Bond Initiative (the European Investment Bank (EIB), the European Bank for Reconstruction and Development (EBRD), Italy’s Cassa Depositi e Prestiti, the Spanish Agency for International Development Cooperation (AECID), Germany’s KfW development bank, PROPARCO of the AFD Group, acting as a consortium of European development finance institutions and the Green Climate Fund (GCF)), today launched a strategic partnership with the Inter-American Development Bank (IDB) and IDB Invest to cooperate on technical assistance for promoting green bond markets in Latin America and the Caribbean, at an event attended by representatives of the European Commission. The declaration was signed in Cartagena, Colombia, at the Finance in Common Summit, held from 4 to 6 September.

ISDA Response To EC Proposal On ESG Ratings

On September 1, ISDA submitted a response to the European Commission’s consultation on its proposal for the regulation of environmental, social and governance (ESG) ratings. ISDA supports a regulatory framework for ESG ratings based on recommendations set out in a report on ESG ratings and data product providers by the International Organization of Securities Commissions, with a view to enhance transparency and integrity of the market.
