USAVE Blockchain (USAVE) today announced an agreement to partner with GMEX Group (GMEX), a provider of innovative exchange, post-trade and digital technology solutions, to build the digital Monaco Gold Spot Exchange (MGX) which will enable the fair and secure trading of physical eco-responsible gold. GMEX will deliver the full GMEX Fusion technology suite to the new exchange as part of its Market Advancement Programme. As part of the agreement GMEX has also acquired a 30% stake in USAVE.

HKEX: Exchange Defers Corporate WVR Beneficiary Consultation

The Stock Exchange of Hong Kong Limited (the Exchange), a wholly-owned subsidiary of Hong Kong Exchanges and Clearing Limited (HKEX), has decided not to launch a consultation (Corporate WVR Consultation) on a proposal to allow corporate entities as weighted voting rights (WVR) beneficiaries at this time as initially planned. The Exchange will continue to engage with relevant stakeholders and work on the proposal.

Companies have a number of options to raise capital. Some raise capital through the sale of stock, some through the sale of debt, and others choose to do both. Even within these broad categories, there are numerous options. One method, for instance, is for a parent company to issue debt that is guaranteed by one or more of its subsidiaries. Another method is the flip of that—for the parent company to guarantee debt issued by one or more of its subsidiaries. Such arrangements can occur in the private markets or the public markets. When publicly issuing guaranteed debt, current Commission rules require a company to provide investors with detailed information about the nature and extent of the guarantees by requiring disclosure of both financial and non-financial information about the guaranteeing entities.

The Securities and Exchange Commission today voted to propose rule amendments to simplify and streamline the financial disclosure requirements applicable to registered debt offerings for guarantors and issuers of guaranteed securities, as well as for affiliates whose securities collateralize a registrant’s securities.
