GL TRADE Announces That Its Main Shareholders Have Accepted Sungard’s Offer To Acquire GL TRADE For €41.70 Per Share

GL TRADE, global provider of multi-market and multi-asset solutions for international financial institutions, today announced that its main shareholders, Euronext Paris S.A., Gagnières, and Messrs. Pierre Gatignol, Louis-Christophe Laurent and Frédéric Morin, have accepted SunGard’s offer to acquire their majority stake in GL TRADE representing, directly and indirectly, 64.52% of GL TRADE’s share capital, at a price of €41.70 per GL TRADE share. SIFMA Issues Exposure Draft Of Model Municipal Bond Purchase Agreement

The Securities Industry and Financial Markets Association (SIFMA) today issued an exposure draft of a Model Bond Purchase Agreement for use in connection with municipal securities including those that are fixed, variable rate, auction and credit-enhanced. The Agreement is not intended for use in connection with conduit financing transactions, although SIFMA will consider at a future date whether to undertake the preparation of other forms of model bond purchase agreements.

Outside Directors Of Mercury Interactive Settle SEC Charges Of Stock Option Backdating

The Securities and Exchange Commission today filed settled charges against Igal Kohavi, Yair Shamir, and Giora Yaron, three former outside directors of California-based software maker Mercury Interactive, LLC. The SEC's complaint alleges that the outside directors recklessly approved backdated stock option grants, and reviewed and signed public filings that contained materially false and misleading disclosures about the company's stock option grants and company expenses.
