  • Hong Kong's Securities and Futures Commission Commences Disciplinary Proceedings Against Chairman Of Pearl Oriental Oil Limited And Others For Alleged Breach Of Takeovers Code

    The Securities and Futures Commission’s (SFC) Takeovers Executive has today commenced disciplinary proceedings before the Takeovers and Mergers Panel (Takeovers Panel) against the chairman of Pearl Oriental Oil Limited (Pearl Oriental), Mr Wong Yuk Kwan (also known as Wong Kwan), and four other people as the Executive believes that there has been a breach of the Code on Takeovers and Mergers (Takeovers Code).

    Thank you, Chair White.  I would also like to express my sadness concerning what happened at the Navy Yard this week.  My thoughts and prayers are with the victims, their families, and everyone who has been touched by this tragedy.  I too would like to thank the staff, who have worked tirelessly on this release.  Thanks especially to staff in the Office of Municipal Securities and Office of Market Supervision for your thoughtful consideration of the more than 1,000 comment letters received on the interim final temporary rule and of my office’s comments and questions, as well.  I also want to acknowledge former Commissioner Elisse Walter and all her hard work on this rule.  It is this perseverance and hard work that has led to the final rule that is being considered today.

    The International Swaps and Derivatives Association, Inc. (ISDA) today announced that its EMEA Credit Derivatives Determinations Committee resolved that a Failure to Pay Credit Event occurred in respect of Codere Finance (Luxembourg) S.A.

  • SIFMA Comments On SEC Municipal Advisor Rules

    SIFMA today released the following statement from Randy Snook, executive vice president, business policies and practices, after the Securities and Exchange Commission (SEC) voted on final rules governing municipal advisor registration:

    “SIFMA supports the goals of the Dodd Frank municipal advisor legislation to bring previously unregulated municipal advisors under supervision and further protect municipalities. The SEC’s municipal advisor definition is a vital component of this reform and will enable the MSRB to move forward with rules on several important issues, such as conflicts of interest, political contributions and professional qualifications.

    The California Public Employees’ Retirement System (CalPERS) today issued the following statement on the SEC’s announcement that it will begin rule-making for the disclosure of CEO pay ratios, as required by the Dodd-Frank Wall Street Reform and Consumer Protection Act.
