Let me join in praising the hard work of the staff. Getting crowdfunding up and running may seem like a simple endeavor, but it has been a big undertaking. While it has been three and a half years since the bill was signed into law, I know these last weeks have been intense for many of you. So thank you to Sebastian Gomez Abero, Julie Davis, Amy Reischauer, Eddie Aleman, Heather Seidel, Joe Furey, Tim White, Joanne Rutkowski, Erin Galipeau, Devin Ryan, Bryant Morris, Dorothy McCuaig, Janice Mitnick, Simona Mola Yost, Vladimir Ivanov, Anzhela Knyazeva , and the entire team for your dedication and hard work.

“Rick Ketchum is rightly recognized as a strong regulator who combines brilliance with a deep knowledge of our markets. He ably served at the SEC for 14 years, with eight of those years as director of the Division of Market Regulation. More recently, he continues to serve as a member of the SEC’s Market Structure Advisory Committee and previously served as a member of our Joint Economic Committee for Emerging Regulatory Issues. He came to FINRA in the aftermath of the financial crisis, where he worked tirelessly to protect and educate investors while also improving the integrity of the markets. I want to thank him for his continuing service to FINRA, its members and, most importantly, investors. Investors are better protected and our markets are stronger because of Rick Ketchum.”

Thank you, Chair White. Today, we are considering two items. First is the adoption of our long-awaited crowdfunding rules under Title III of the JOBS Act. Second is a proposal to expand capital formation opportunities under the intrastate exemption of the Securities Act and the small offering exemption under Rule 504 of Regulation D.
