Nigerian Stock Exchange Appoints New Council Secretary - Restructures Its Legal Department And Council Secretariat For Optimisation

The Nigerian Stock Exchange (The NSE or The Exchange) has announced the appointment of Mrs. Mojisola Ruth Adeola as the Council Secretary and Head of the Council Secretariat. Mrs. Adeola’s appointment follows on The Exchange’s decision to drive greater efficiency and innovation by separating its Legal Department from the Council Secretariat.

The Takeovers and Mergers Panel (Panel) has upheld the Takeovers Executive’s (Executive) ruling to grant ArcelorMittal, a substantial shareholder of China Oriental Group Company Limited (China Oriental), a waiver from having to acquire all the shares of China Oriental under the mandatory general offer obligation of the Code on Takeovers and Mergers (Takeovers Code) upon the unwinding of certain put option arrangements.

Thai Listed Companies’ Increased Focus On Actual Practices Of Governance And Sustainability Have Led To Higher CG Scores In 2015 In All Governance Aspects

The Thai Institute of Directors Association (IOD), with support from the Stock Exchange of Thailand (SET), disclosed the CGR 2015 findings of 588 listed companies which show an average score of 75 percent, considered to be a good level of governance practice. This year, the assessment reveals that Thai listed companies have put more emphasis on the actual practices of governance as stipulated in their CG policies, a clear move towards substance as opposed to form. Listed companies also underscored the importance of social responsibilities to attain sustainable growth in their business operations.

The UK Prudential Regulation Authority’s Approach To Identifying Other Systemically Important Institutions (O-SIIs) – CP39/15

Background
In this consultation paper (CP), the Prudential Regulation Authority (PRA) sets out the criteria and scoring methodology it proposes to use to identify other systemically important institutions (O-SIIs). These criteria and methodology are derived from Article 131(3) of the Capital Requirements Directive (2013/36/EU) (CRD) – which requires O-SIIs to be identified- and follow the European Banking Authority (EBA) Guidelines 2014/10 on the criteria to determine the conditions of application of Article 131(3) CRD in relation to the assessment of O-SIIs.

Oslo Børs – Introducing Merkur Market

As previously announced, Oslo Børs will introduce Merkur Market in January 2016. Merkur Market will be introduced on the existing version of Millennium Exchange, although additional values in the combined reference data files for Merkur Market, Oslo Børs, Oslo Axess and Nordic ABM require minor adjustments to be carried out by third parties. The changes in the reference data files will come into force in the production environment Monday 7 December 2015, and in the test environment from Monday 2 November 2015.
