Warsaw Stock Exchange Informs Of Changes On The Exchange Management Board - Paweł Graniewski And Mirosław Szczepański Appointed To The WSE Management Board - Beata Jarosz And Paweł Graniewski Appointed Vice-Presidents Of The Management Board

The Warsaw Stock Exchange informs that the Exchange Supervisory Board at its meeting on 22 February 2013 has decided to change the composition of the Exchange Management Board. Paweł Graniewski, Member of the Exchange Supervisory Board delegated to the Exchange Management Board in December 2012, has been appointed to the Management Board as Vice-President. Mirosław Szczepański, currently the President of two subsidiaries of the WSE: WSEInfoEngine and Instytut Rynku Kapitałowego – WSE Research and formerly a long-time employee of the WSE, has been appointed as Member of the Management Board effective not earlier than 1 April 2013. The Supervisory Board has appointed Beata Jarosz, Member of the Exchange Management Board since 2006, as Vice-President.

Lidia Adamska, who has been on the Management Board since 2006 and with the WSE since 1994, has resigned from the position of Management Board Member as of 31 March 2012.

Following the decisions of the Supervisory Board, Paweł Graniewski filed a declaration resigning from the Exchange Supervisory Board as of the date of delivery to the WSE of the decision of the Polish Financial Supervision Authority (KNF) concerning the approval of his appointment to the Management Board.

The decisions which change the composition of the Management Board will enter into force subject to KNF’s approval.

Paweł GRANIEWSKI

Paweł Graniewski received his MA in Law from the Faculty of Law and Administration of the University of Warsaw in 1983. He started his professional career at the Research Institute for Current Problems of Capitalism. From 1985, he worked at the Warsaw Technical University (Politechnika Warszawska) in the Institute for Social and Economic Sciences. In 1990-1992, he worked at the New York law firm Willkie Farr & Gallagher and, in 1992-1993, at the investment bank Barclays de Zoete Wedd in London and Warsaw as Assistant Director. In 1993-1995, he was General Legal Counsel for the Mass Privatisation Programme at the Polish Ministry of State Treasury. In 1995-1996, he was President of the Management Board of Investment Fund Services Company Ltd. (OFI Sp. z o.o.), a mutual fund transfer agent, a joint venture of Bank Handlowy w Warszawie S.A. and the US company Forum Financial Group, Inc. In 1996-1999, he was President of Daiwa Europe Polska Sp. z o.o. In 1999-2009, he represented the US investment bank Morgan Stanley in Poland. Since 2010, he is Managing Director, Head of Investment Banking, at Citi Handlowy. In 1999-2002, he was a Member of the Supervisory Board of the DOM Pension Fund. Since February 2011, he is a Member of the Supervisory Board of the Warsaw Stock Exchange; he is the Chairman of the Strategy Committee of the WSE Supervisory Board and a Member of the Regulation and Corporate Governance Committee and the Remuneration and Nomination Committee.

Mirosław SZCZEPAŃSKI

Mirosław Szczepański is a graduate of the Warsaw School of Economics and the International Institute for Securities Market Development in Washington, D.C. Certified State Treasury Company Supervisory Board Member and certified Corporate Receiver. For many years with the Warsaw Stock Exchange, among others as Director of the Quotations Department, Director of the Development and Regional Co-operation Department, Securities Broker Examination Panel Member, and WSE Representative on the Advisory Group to the National Depository for Securities (KDPW). In 2008-2009, responsible for development of brokerage services in Raiffeisen Bank Polska S.A. Since late 2009, President of the Management Board of the WSE’s subsidiary WSEInfoEngine, and since 2012, also President of the Management Board of Instytut Rynku Kapitałowego – WSE Research, another WSE subsidiary.

Beata JAROSZ

Beata Jarosz holds an MA from the Department of Economics and Social Science, Warsaw School of Economics. She completed the Mini MBA Program in Management at the Polish-American Management Center, University of Łódź. She completed many training programmes on financial markets and financial instruments in Poland and abroad including the International Institute for Securities Market Development, Washington D.C., USA (1996), and the Program on Securities Enforcement and Market Oversight, Washington D.C., USA (1996). In 1990-1991, she worked at the Ministry of Ownership Transformation. In 1991, she joined the Polish Securities and Exchange Commission, where she gained expertise and experience in capital markets. As of 2002, Director of the Market Surveillance Department. She co-ordinated exchange surveillance projects. She represented the Commission in the Committee of European Securities Regulators (CESR) in the area of market surveillance and safety (CESR-Pol Standing Committee). She chaired the Securities Brokers and Commodity Brokers Examination Panel. She remained with the Commission until June 2006. Since 28 June 2006, Beata Jarosz is a Member of the Management Board of the Warsaw Stock Exchange. She is the Chair of the Supervisory Board of KDPW (National Depository for Securities), the Chair of the Supervisory Board of KDPW_CCP SA, and a Member of the Board of Directors of the Foundation for Youth Entrepreneurship. She holds classes in capital markets among others at the Department of Economics, University of Warsaw. In 2001, Beata Jarosz received the Golden Cross of Merit for her special contribution to the development of the Polish capital market.
