Treatment Of The Merger Of Gaz De France And Suez In The S&P European Indices

Standard & Poor’s will make the following changes in the S&P Europe 350, S&P Euro Plus, S&P Euro and S&P United Kingdom indices, effective after the close of trading on Monday 21 July 2008:
  • GDF Suez (France, SEDOL: B0C2CQ3, GICS: Utilities GICS Code: 55103010) will replace Suez (France, SEDOL: 7118047, GICS: Utilities, GICS Code: 55103010) in the S&P Europe 350, S&P Euro Plus and S&P Euro indices, following the merger between Gaz de France and Suez. Shares in the merged entity, GDF Suez, are expected to commence trading on 22 July 2008, subject to approval at shareholders meetings to be held on 16 July 2008. Current Suez shareholders will receive 21 shares in the new entity for every 22 Suez shares they currently hold; Gaz de France shareholders will receive 1 new share in the entity for every share they hold.

    The merger between Gaz de France and Suez will create a leading multi-energy company. The number of shares outstanding for GDF Suez will be 2,232,662,773 and the Investable Weight Factor will be 0.6466. The company will be added to the S&P Europe 350 GICS (Global Industry Classification Standard) Multi-Utilities sub-industry.
  • Suez Environnement SA (France, SEDOL: B3B8D04, GICS: Industrials, GICS Code: 20201050) will replace Rank Group (United Kingdom, SEDOL: B1L5QH4, GICS: Consumer Discretionary, GICS Code: 25301010) in the S&P Europe 350, and will be added to the S&P Euro Plus and S&P Euro indices. Current shareholders in Suez will receive one share in Suez Environment for every 4 Suez shares they currently own. The company is expected to start trading on Euronext Paris on 22 July 2008.

    Suez Environnement operates waste and water management facilities. The number of shares outstanding will be 489,699,060 and the Investable Weight Factor will be 0.5504. The company will be added to the S&P Europe 350 GICS (Global Industry Classification Standard) Environmental & Facilities Services sub-industry.
