TSE has compiled statistics on dates of annual general shareholders meetings for companies whose fiscal years ended in March 2015.
Summary
- Every year, the highest concentration of annual general shareholders meetings for companies whose fiscal years ended in March occurs on the business day before the last business day of June (If this falls on Monday, this occurs on the Friday of the previous week.). Since that day falls on a Monday this year, the previous Friday (June 26) is when the most listed companies will hold their annual general shareholders meetings: 977 (41.3%) out of 2,363 companies.
- The concentration rate on this day rose by 2.6 points from last year. After peaking at 96.2% for the fiscal year ended March 1995, the rate had gradually declined, and in recent years has hovered around 40%.
- The earliest annual general shareholders meeting among companies whose fiscal years ended on March 31 was held on May 29 by Scroll Corporation (Code: 8005, Market Division: 1st Section), followed by SPARX Group Co., Ltd. (Code: 8739, Market Division: JASDAQ Standard) on June 2.
In order to facilitate the exercise of voting rights at annual general shareholders meetings, TSE requests listed companies to avoid holding annual general shareholders meetings on a day when such meetings are significantly concentrated (Rule 437, Item 1 of the Enforcement Rules for Securities Listing Regulations).
The Corporate Governance Code suggests in its supplementary principles 1. 2. 3 that the determination of the date of the general shareholder meeting and any associated dates should be made in consideration of facilitating sufficient constructive dialogue with shareholders and ensuring the accuracy of information necessary for such dialogue. The Code also encourages listed companies to cooperate in spreading out dates for annual general shareholders meetings to improve the environment for exercising voting rights.
