The Tokyo Stock Exchange ("TSE") announced today the calculation method for TOPIX and its sub-indices in relation to shares of Nikko Cordial Corporation (First Section, Code 8603, "NCC"), provided that a share exchange transaction is approved at the extraordinary share holders' meeting scheduled for December 19th, 2007, and that this transaction takes place.
On October 2, 2007, NCC signed a basic agreement for a share exchange with Citigroup Japan Holdings Ltd ("CJH") and Citigroup Inc (Citigroup), the 100% parent company of CJH, for a share exchange transaction between NCC and CJH that would make NCC a wholly-owned subsidiary of CJH in exchange for Citigroup common stock. Pursuant to the basic agreement, NCC concluded a share exchange agreement with CJH on October 31, 2007 (The basic agreement was amended on November 14, 2007).
The details are as follows:
1. Exclusion (If the share exchange is conducted)
Shares of NCC will be excluded from TOPIX and its sub-indices after the close of trading on the last trading day (January 22, 2007).
2. Extraordinary Review of Free-Float Weight (FFW)
- Free float weight (FFW) will be changed from 0.40 to 0.20
- Adjustment date : After close of trading on December 27, 2007
3. Others
The TSE will not make the adjustments described above if the share exchange is cancelled due to the resolution of the extraordinary shareholder's meeting on December 19, 2007 or for any other reason.
