Share Change For Embraer In The S&P Latin America 40 Index

Standard & Poor’s will make the following changes in the S&P Latin America 40 Index effective after the close of trading on Wednesday, June 7, 2006:

• Embraer – PN (ADR) (Brazil, NYSE: ERJ, Sedol 2611916) shares will be replaced by Embraer – ON (ADR) shares due to the company merger with and into Rio Han Empreendimentos e Participacoes. Rio Han has changed its name to Embraer (new). As result of the merger, each Embraer – PN and ON share will be mandatory converted into one new Embraer – ON share. Each ADR will represent 4 new Embraer – ON shares. The new Embraer – ON (ADR) (Brazil, NYSE: ERJ, Sedol 2611916) number of shares will be 184,652,951 and the new IWF will be 0.584.
