Standing for election to the NYSE’s Board of Directors are incumbent nominees: Herbert M. Allison, Jr, Chairman, President and CEO, TIAA-CREF; Marshall N. Carter, retired Chairman and CEO, State Street Corporation; Shirley Ann Jackson, President, Rensselaer Polytechnic Institute; James S. McDonald, President and CEO, Rockefeller & Co., Robert B. Shapiro, former Chairman of Pharmacia Corporation and former Chairman and CEO of Monsanto Company; Dennis Weatherstone, retired Chairman, J.P. Morgan & Co., and Edgar S. Woolard, Jr., former Chairman and CEO, DuPont. New nominees are: Ellyn L. Brown, President, Brown & Associates and former Maryland Securities Commissioner; Alice M. Rivlin, former Vice Chairman of the Federal Reserve Bank and Budget Director in the Clinton Administration; and Karl M. von der Heyden, former PepsiCo Vice Chairman.
A candidate proposed by a petition of members associated with The Exchange Members Association, Inc., an incorporated organization of NYSE lessor-members, is not listed in the proxy statement. The Board of Directors determined that the candidate was not independent within the meaning of the Exchange’s Constitution and the Board of Directors Independence Policy. A determination of independence by the Board is a requirement for eligibility for election.
