Notice To Shareholders From BM&F BOVESPA S.A

We hereby inform you that, on August 12, 2008, BM&F BOVESPA S.A. – Bolsa de Valores, Mercadorias e Futuros (BM&FBOVESPA) was granted its registration as a public company by the Comissão de Valores Mobiliários (CVM) in order to list its shares on the stock market. As previously announced to the market, BM&FBOVESPA is the company that results from the merger of the activities of Bolsa de Mercadorias & Futuros-BM&F S.A. [Corporate Taxpayers’ ID (CNPJ) No. 08936812/0001-55] (“BM&F”) and Bovespa Holding S.A. [Corporate Taxpayers’ ID (CNPJ) 08695953/ 0001-23] (“BOVESPA”), as approved at their respective Shareholders’ Extraordinary General Meetings held on May 8, 2008.

We also inform you that the first day of trading for the shares issued by BM&FBOVESPA (ticker BVMF3) will be August 20, 2008, and that the last day of trading for the shares issued by both BM&F (ticker BMEF3) and BOVESPA (ticker BOVH3) will be August 19, 2008.

Due to the resolutions adopted at the Shareholders’ Extraordinary General Meetings, the BM&F shareholders will receive 1 BM&FBOVESPA common share for each BM&F common share, and the BOVESPA shareholders will receive 1.42485643 BM&FBOVESPA common shares for each BOVESPA common share. The new shares will be credited to their accounts on August 25, 2008.

The fractions resulting from the substitution of BOVESPA shares for BM&FBOVESPA shares will be grouped and sold at an auction to be held on a timely basis. The product of this sale will be credited to the shareholders proportionally to the fractions they hold.
