BOVESPAs corporate restructuring was approved in an Extraordinary General Meeting
(EGM), held on August 28th at BOVESPAs headquarters.
As the result of this restructuring the
Exchange turned into a for-profit corporation.
The corporate restructuring resulted in the
creation of BOVESPA Holding, the parent company of Bolsa de Valores de São
Paulo (BVSP) and Companhia Brasileira de Liquidação e Custódia (CBLC), both fully
owned by BOVESPA Holding. The BVSP will undertake the Exchange operations, whereas the
CBLC will remain as the provider of clearing, settlement and depository services.
The EGM also created the Instituto
Bovespa de Responsabilidade Social e Ambiental (BOVESPA Institute of Social and
Environmental Responsibility), a non-for-profit civil association owned by the
BOVESPA Holding and devoted to developing the companys social and environmental
projects.
The BOVESPA Holding will have a Board of
Directors composed by nine directors with a two-year term, being five of them independent.
The Board is responsible for electing the Senior Executive Officers, who have also been
elected.
