BOVESPA Turns Into A Corporation And Announces Its New Board Of Directors

BOVESPA’s corporate restructuring was approved in an Extraordinary General Meeting (EGM), held on August 28th at BOVESPA’s headquarters.
As the result of this restructuring the Exchange turned into a for-profit corporation.

The corporate restructuring resulted in the creation of BOVESPA Holding, the parent company of Bolsa de Valores de São Paulo (BVSP) and Companhia Brasileira de Liquidação e Custódia (CBLC), both fully owned by BOVESPA Holding. The BVSP will undertake the Exchange operations, whereas the CBLC will remain as the provider of clearing, settlement and depository services.

The EGM also created the Instituto Bovespa de Responsabilidade Social e Ambiental (BOVESPA Institute of Social and Environmental Responsibility), a non-for-profit civil association owned by the BOVESPA Holding and devoted to developing the company’s social and environmental projects.

The BOVESPA Holding will have a Board of Directors composed by nine directors with a two-year term, being five of them independent. The Board is responsible for electing the Senior Executive Officers, who have also been elected.

The first Board of Directors of BOVESPA Holding was approved as following:

Chairman: Raymundo Magliano Filho - graduated in Business Administration, director of Magliano S.A Brokerage Firm
Vice-Chairman: Nelson B. Spinelli - graduated in Law, director of Spinelli S.A Brokerage Firm

Independent Directors:
Álvaro Musa – graduated in Business Administration, director of Partner Consult
Ary Oswaldo Mattos Filho – graduated in Law, former chairman of the Brazilian Securities and Exchanges Commission and professor at Fundação Getúlio Vargas Business School
José Roberto Mendonça de Barros – graduated in Economics, partner of MB Associados and former Secretary of Economic Policy and Foreign Trade
Luiz Felipe Lampreia – graduated in Sociology and a Diplomat, former Minister of Foreign Affairs
Pedro Parente – graduated in Electrical Engineering, Executive Vice-President of Rede Brasil Sul and former Minister of Internal Affairs and Planning

Alfredo Setúbal – graduated in Business Administration, member of the Board and Executive Vice-President of Banco Itaú
