TSX Venture Statistics – December 2004 Background Commentary

Graduates
  • There were 6 graduates to Toronto Stock Exchange in December 2004. Four of the graduates were from TSX Venture Exchange and two were from NEX. The total number of TSX Venture and NEX graduates to Toronto Stock Exchange in 2004 increased 23.4% to 58 from 47 in 2003.

  • The total number of graduates represented 28.4% of the senior market's new listings in 2004 compared to 36.7% in 2003.

  • Additionally, 15 TSX Venture companies were acquired by/merged with TSX listed companies in 2004.

Year-To-Date Financing

  • In 2004, there were 2,206 financing deals on TSX Venture that raised a total of $4,149.8 million, an increase of 74.6% from 2003 of $2,376.2 million through 2,276 financing deals.

  • Year-over-year, the average size of the financings has increased from $1.04 million to $1.88 million, an increase of 80.8%.

  • The Mining sector led the way in financing in 2004, raising a total of $2,386.4 million (representing 57.5% of the total financing). This was an increase of 85.8% compared to the $1,284.4 million raised in 2003.

  • The Oil & Gas sector followed in second place with $943.1 million raised (representing 22.7% of the total financing). This was an increase of 85.5% compared to the $508.5 million raised in 2003.

  • The Technology sector captured 6.3% of the financing with $260.5 million raised in 2004, which represented an increase of 44.9% from the $179.8 million raised in 2003.

  • South Atlantic Ventures Ltd., a mining company, completed the largest single financing in 2004, raising $160 million through a public offering in June. European Goldfields Limited, another mining company, completed the next largest single financing, raising $91.0 million through a private placement in November 2004.

Year-To-Date Going Public Activity

  • There were 14 new listings in the month of December, bringing the 2004 total to 142. New listings increased 86.8% in 2004 compared to 2003.

  • The Capital Pool Company (CPC) program generated 61.3% of the new listings in 2004, an increase from 38.2% in 2003. The mining sector had 27 new listings, representing 19.0% of the total new listings and the oil & gas sector accounted for 9.2% of the new listings in 2004.

  • The regional breakdown of new listings is as follows: British Columbia (21.8%), Alberta (26.1%), Ontario (21.1%), Quebec (21.1%), Manitoba and Saskatchewan (4.2%), Atlantic Canada (0.7%) and Foreign (4.9%).

  • In 2004, there were 117 IPOs (including CPCs), an increase of 105.3% from the 57 in 2003. There were 29 Reverse Take Over transactions (RTOs) and 66 Qualifying Transactions.

S&P/TSX Venture Index

  • The S&P/TSX Venture Composite Index closed at 1,825.5 on December 31, 2004. This represented an increase of 4.2% since the beginning of 2004. The S&P/TSX Composite Index was up 12.5%, the NASDAQ Composite was up 8.6% and the Dow Jones Industrial Average increased 3.1% since the beginning of January 2004.

Market Capitalization

  • The market capitalization for TSX Venture Exchange equities was $23.9 billion as of December 31, 2004 – an increase of 4.4% from November 30, 2004 and an increase of 14.4% from December 31, 2003.

Financing

  • There were a total of 15 private placements in the month of December, raising a total of $3.7 million. This represents a decrease of 64.1% compared to the $10.3 million raised in November 2004.

  • There were 123 financing deals on NEX in 2004, raising a total of $55.8 million. Comparable figures for 2003 are not available because NEX was launched in August 2003.

Trading Activity for the Month

  • Total volume traded for December 2004 was 41.3 million shares, representing an increase of 14.7% over November 2004 but a drop of 28.7% from December 2003.

  • Total value traded was $6.8 million for December 2004, a decrease of 37.6% from the $10.9 million traded in November 2004 but a decrease of 51.8% from December 2003.

  • The total number of transactions for December was 5,559, a decrease of 2.5% from November 2004 and a decrease of 24.2% from December 2003.

  • 2 companies graduated to TSX Venture in the month of December.

Market Capitalization

  • The market capitalization for NEX equities was $316.6 million as of December 31, 2004 – an increase of 12.5% from November 30, 2004 and an increase of 18.2% from December 31, 2003.
