TSX Group Inc., TSX Inc. - Underwriting Syndicate Exercises Over-Allotment Option To Purchase 2,846,736 Common Shares Of TSX Group Inc.

TSX Group Inc. (TSX: X) and TSX Inc. (formerly The Toronto Stock Exchange Inc.) announced today that TSX Group Inc.'s underwriters have exercised in full their over-allotment option to purchase 2,846,736 common shares of TSX Group Inc. at the initial public offering price of $18.00 per share. The over-allotment option closing is expected to occur on November 19, 2002. The total net proceeds to be received on exercise of the over-allotment option will be paid to former shareholders of TSX Inc. who chose to sell some or all of the shares of TSX Group Inc. they received under TSX Inc.'s reorganization to an affiliate of TSX Group Inc. in connection with the offering process.
