TSX Group Inc. Closes Offering Of 2,846,736 Common Shares At $18.00 Per Share Pursuant To The Exercise Of The Over-Allotment Option By The Underwriting Syndicate

TSX Group Inc. (TSX: X) and TSX Inc. announced today that they have completed the closing of the offering of 2,846,736 common shares of TSX Group Inc. at the initial public offering price of $18.00 per share. These shares were issued upon exercise in full of the over-allotment option previously granted by TSX Group Inc. to its underwriters, which exercise was announced on November 13, 2002.

The total net proceeds received on exercise of the over-allotment option were paid to shareholders of TSX Inc. who chose to sell some or all of the shares of TSX Group Inc. they received under TSX Inc.'s reorganization to an affiliate of TSX Group Inc. in connection with the offering process.
