Tokyo Stock Exchange: Statistics On Dates Of Annual General Shareholders Meetings For Companies Whose Fiscal Years Ended In March 2016

TSE has compiled statistics on dates of annual general shareholders meetings for companies whose fiscal years ended in March 2016.

Summary

- Every year, the highest concentration of annual general shareholders meetings for companies whose fiscal years ended in March occurs on the second to last business day in June. (If it falls on a Monday, the meeting is moved to the Friday of the previous week.) This year, it falls on Wednesday, June 29 with 759 (32.2%) out of the 2,355 companies included in the statistics scheduled to hold their annual general shareholders meetings on that day.

- The concentration rate on this day fell by 9.1 points from last year. After peaking at 96.2% for the fiscal year ended in March 1995, the rate has gradually declined and, in recent years, hovered around 40%. For the fiscal year ended in March 2016, the rate fell significantly below 40%—the lowest level since the counting started.

- The earliest annual general shareholders meeting among companies whose fiscal years ended in March 31 was held on May 27 by SOCIALWIRE CO.,LTD. (Code: 3929, Market Division: Mothers) and Scroll Corporation (Code: 8005, Market Division: 1st Section).

In order to facilitate the exercise of voting rights at annual general shareholders meetings, TSE requests listed companies to avoid holding annual general shareholders meetings on a day when such meetings are significantly concentrated (Rule 437, Item 1 of the Enforcement Rules for Securities Listing Regulations).
The Corporate Governance Code suggests in its supplementary principles 1. 2. 3 that the determination of the date of the general shareholders meeting and any associated dates should be set in consideration of facilitating sufficient constructive dialogue with shareholders and ensuring the accuracy of information necessary for such dialogue. The Code also encourages listed companies to cooperate in spreading out dates for annual general shareholders meetings to improve the environment for exercising voting rights.
