Termination Of Kas-Associatie N.V.'s Facility For Trading In Amsterdam Exchanges N.V. Shares And Profit-sharing Certificates

If the proposal to merge the exchanges in Paris (SBF), Brussels (BXS) and Amsterdam (AEX) is approved by the general meeting of shareholders of Amsterdam Exchanges N.V. on 21 September 2000, holders of shares in Amsterdam Exchanges N.V. will become holders of shares in Euronext N.V. by operation of law on the day following 22 September 2000 (the closing date of the merger). As from this day, 23 September 2000, it will no longer be possible to buy and sell shares in Amsterdam Exchanges N.V.

In view of the above, Amsterdam Exchanges N.V. has asked Kas-Associatie N.V. to terminate its facility for trading in Amsterdam Exchanges N.V. shares and profit-sharing certificates with effect from 22 September 2000. Holders of profit-sharing certificates can, however, convert them into shares in Euronext N.V. Regarding the conversion of profit sharing certificates AEX into shares in Euronext N.V. further announcements will follow.

The intention is that Euronext N.V. will apply for a stock exchange listing in the foreseeable future. For this reason there will not be any facilities for trading in Euronext N.V. shares for the time being.

Shareholders AEX and profit sharing certificates holders AEX are therefore asked to settle their purchase and saleorders and to hand over the deed of transfer for registration to Amsterdam Exchanges N.V. before , 21 September 2000; 4 p.m.
