SGX RegCo Announces Board Members - Operational Start On 15 September

Singapore Exchange Regulation (SGX RegCo) has appointed Mr Alan Shaw, Ms Jane Diplock AO and Mr Ronny Tan to its board. The company will begin operations on 15 September 2017.

The three board members will join Professor Tan Cheng Han, who is chairman of the board, and Tan Boon Gin, executive director and CEO of SGX RegCo.

Mr Shaw was Counsel at the Takeovers Panel of the Australian Government from 2007 to 2016 and the head of risk management and regulation at Singapore Exchange (SGX) in 2001 to 2004. He is currently Principal of Alan J Shaw Consulting, a firm dealing in legal, regulatory and merger and acquisition matters. Mr Shaw holds Bachelor of Law and Masters of Arts degrees and a Graduate Diploma of Public Policy from the University of Melbourne.

Ms Diplock AO has been an independent non-executive director of Singapore Exchange (SGX) since 2011. She will be a non-independent and non-executive director of SGX RegCo. She is a member of the Public Interest Oversight Board and a director of Australian Financial Services Group Pty Limited. She is a member of the International Advisory Committee of the China Securities Regulatory Commission, a member of the International Advisory Board of the Securities and Exchange Board of India, and deputy chairman of the International Integrated Reporting Council Board.  She is also chairman of the Regulatory Committee of the Abu Dhabi Global Market. Until 2011, Ms Diplock AO was chairman of the Executive Committee of the International Organisation of Securities Commissions (IOSCO) and the New Zealand Securities Commission. She holds degrees in arts and law, a Diploma of Education from Sydney University and a Diploma of International Law, International Economics and International Relations from the Australian National University. 

Mr Ronny Tan is a board member of Sentosa Development Corporation and President of Sentosa Golf Club. He is a non-executive director of Lombard Odier (Singapore) Ltd and Covalent Capital Pte Ltd. A trustee at Singapore University of Technology and Design, he is also an adviser to the Board at the Singapore Art Museum. Until recently, Mr Tan was Chairman of Assisi Hospice. Prior to stepping down as Vice-Chairman of Deutsche Bank in June 2014, Mr Tan was the Chief Country Officer for 12 years. In all, he has 35 years’ market experience in the banking and financial industry. Mr Tan has a degree in Economics & Statistics from the University of Singapore and a diploma in Banking from the Institute of Banking & Finance, Singapore.

Appendix

Alan Joseph Shaw

Non-Executive and Independent Director 

Mr Alan Joseph Shaw is a Non-Executive and Independent Director of Singapore Exchange Regulation.

He is currently Principal at Alan J Shaw Consulting, a Melbourne-based company dealing with legal, regulatory and M&A matters.

Prior to that, he was Counsel in the Takeovers Panel of the Australian Government, a primary forum for resolving disputes about a takeover bid, where he provided legal advice on public M&As. From 2001 to 2004, Mr Shaw was Head of Risk Management and Regulation at Singapore Exchange (SGX), responsible for risk management activities and regulatory functions across the organisation. Mr Shaw has also held various positions at the Australian Stock Exchange including National Companies Counsel and National Manager of Regulatory Policy.  He was also a senior lawyer at the National Companies and Securities Commission, Australia.

Mr Shaw holds a Master of Arts, Graduate Diploma of Public Policy and Bachelor of Law from the University of Melbourne, Australia. 

Ronny Tan Chong Tee

Non-Executive and Independent Director 

Mr Ronny Tan Chong Tee is a Non-Executive and Independent Director of Singapore Exchange Regulation.

Mr Tan is a board member of Sentosa Development Corporation and President of Sentosa Golf Club. He is a non-executive director of Lombard Odier (Singapore) Ltd and Covalent Capital Pte Ltd. A trustee at Singapore University of Technology and Design, he is also an adviser to the Board at the Singapore Art Museum. Until recently, Mr Tan was Chairman of Assisi Hospice.

Before stepping down as Vice-Chairman of Deutsche Bank in 2014, Mr Tan was the Chief Country Officer, Singapore for 12 years. He also sat on the boards of Deutsche Asia Pacific Holdings Pte Ltd and DB International (Asia) Ltd.

During his 35-year career in the financial sector, Mr Tan has served on the Council of The Association of Banks in Singapore and The Singapore Foreign Exchange Market Committee. He was the past President of ACI Singapore - The Financial Markets Association and continues to be on its advisory board. He has also served on the board of Singapore Commodity Exchange (SICOM) as well as the Income Tax Board of Review.

Mr Tan holds a degree in Economics and Statistics from the University of Singapore as well as a Diploma in Banking from the Institute of Banking & Finance, Singapore.
