Preliminary Results Indicate NYSE Members Approve Governance Proposals And Slate Of Directors

Preliminary results indicate that NYSE members have voted in favor of amendments to the NYSE Constitution relating to corporate governance structure and separately elected eight individuals to serve on the board of directors. The newly adopted amendments, including board composition, remain subject to Securities and Exchange Commission approval.

The members approved the establishment of an independent board of directors with full fiduciary responsibility to supervise regulation, governance, compensation and internal controls. The board of directors will appoint a board of executives composed of constituent representatives who will meet regularly and develop recommendations on NYSE marketplace operations, membership issues, listed-company issues and public issues relating to market structure and performance. The board of directors will also appoint a Chief Regulatory Officer who will report to the board's Regulatory Oversight Committee, not the Exchange's CEO.

The members also approved the director slate proposed in the proxy statement: Madeleine K. Albright, Herbert M. Allison, Jr., Euan D. Baird, Marshall N. Carter, Shirley Ann Jackson, James S. McDonald, Robert B. Shapiro, and Sir Dennis Weatherstone.
