Pharmacia To Be Delisted From Stockholmsbörsen

Date 07/04/2003

Pharmacia requested today that its shares be delisted from Stockholmsbörsen due to the company's merger with Pfizer. The final date for trading in the shares will be Friday, April 11. Stockholmsbörsen will offer trading in Pfizer shares, which will commence as soon as the exchange of depositary receipts in Pharmacia for Pfizer shares has been completed. According to the prospectus sent to Pharmacia shareholders, this will take approximately three weeks

As previously announced, Pfizer shares will be traded in the same manner as all of the other shares on the Exchange. However, the company's shares will not be listed on Stockholmsbörsen. Trading will be conducted in Swedish kronor (SEK) via Stockholmsbörsen's SAXESS(TM) trading system. Pfizer will be traded on the Xterna list, a new list for non- Swedish companies. To ensure that trading in Pfizer shares maintains satisfactory liquidity, a market maker will make buy and sell prices continuously available.

Pfizer's primary listing is on the New York Stock Exchange (NYSE). No agreement will exist between Stockholmsbörsen and Pfizer. Among other effects, this will mean that Stockholmsbörsen's regulations in regard to the disclosure of information to the Swedish market will not apply. Through an exchange message or a press release, Stockholmsbörsen will provide information about the initial day of trading in Pfizer shares, as soon as the stock swap has been completed.
