Osaka Securities Exchange: Holding Of Briefing On Termination Of Business Cooperation Agreement With Nasdaq Japan, Inc. And Operation Of "Japan New Market (Tentative Name)"

  1. Holding of Briefing for Companies Listed on the Nasdaq Japan Market
    • Osaka Securities Exchange Co., Ltd. (OSE) today held a well-attended briefing for companies listed on the Nasdaq Japan Market on termination of the Business Cooperation Agreement with Nasdaq Japan, Inc. (NJI), change of the Market name, and policy for operation of the "Japan New Market (tentative name)."
  2. Efforts for Operation of "Japan New Market (tentative name)"
    • Along with termination of the Business Cooperation Agreement with NJI, the name "Nasdaq Japan" will cease to be used; however, the "Japan New Market (tentative name)" will aim for a national market on which high-growth companies with good prospects from around the country are listed.
    • Shareholders of the listed companies and investors can trade shares on the Market in the same way as it is, and there is no change in rules etc. for listing, trading and settlement.
    • As a provider of the "Japan New Market (tentative name)," which is a national market, OSE continues to be committed to providing securities infrastructure for vitalizing Japanese economy.
    • Concrete Efforts
    1. Issuer Services
      • OSE will take over marketing promotion activities, and issuer services such as support for IR activities in Tokyo area, conducted by NJ by now.
    2. Enhancement of Functions in Tokyo Area
      • From the perspective that the "Japan New Market (tentative name)" is a nationwide market, OSE will enhance its functions in Tokyo area. Functions such as listing examination or acceptance of filing of disclosure documents, which are provided only in Osaka so far, will be provided in Tokyo as well. Also, OSE will establish a new department in charge of marketing and promotion activities of the "Japan New Market (tentative name)" in Tokyo and conduct active marketing activities. Taking this occasion, OSE will upgrade Tokyo Office to Tokyo Branch. OSE already employed new personnel necessary for enhancement of such functions.
    3. Building an Efficient and Low-Cost Market
      • Aiming for an efficient and low-cost market, OSE will reduce costs born by listed companies. In concrete terms, OSE will exempt companies listed with the Growth criteria from annual listing fees for a certain period.
    4. Consolidation of Emerging Markets
      • Regarding consolidation of emerging markets, OSE believes that one big emerging market, which can compete with Tokyo Stock Exchange, is necessary to improve efficiency and convenience of a market through appropriate competition among markets. As OSE has insisted until now, this belief of OSE remains the same. OSE will address consolidation of emerging markets, using the "Japan New Market (tentative name)" as a core.
