The value of OM’s Increased Offer for LSE at Friday night’s closing prices was:

Basic Terms

  • for each LSE Share, 1.4 new OM Shares, valuing each LSE Share at GBP36.15
  • representing a 50.6 per cent. premium to LSE’s closing price on Friday
  • valuing LSE at GBP1,074 million
Majority Cash Alternative
  • for each LSE Share, GBP20.00 in cash and 0.5 new OM Shares, valuing each LSE Share at GBP32.91
  • representing a 37.1 per cent. premium to LSE’s closing price on Friday
  • valuing LSE at GBP977 million
  • LSE Shareholders may elect to receive cash consideration over and above GBP20.00 by electing for, and subject to the terms of, the Additional Cash Election (summarised on page 23 of OM’s Increased Offer Document)
LSE’s share price closed on Friday 3 November 2000 at GBP24.00.

The price of an OM Share is based on the closing price of SEK370 per OM Share on Friday 3 November 2000 and an exchange rate of SEK14.33 as published in the Financial Times on that date.
