NYSE Statement On Plaintiffs' Court Submission

The opinion and analysis by Citigroup Global Markets, the financial expert selected with plaintiffs’ approval, concluded that the terms of the NYSE’s proposed merger with Archipelago are financially fair to our Members. The NYSE’s independent Board of Directors agrees.

As part of the proposed settlement agreement with the plaintiffs, all parties consented to Citigroup acting as the independent financial expert. The plaintiffs’ correspondence to our Membership has been mailed. The Member vote on December 6 will allow all NYSE Members to decide on the merger for themselves.
