The proxy statement proposes the re-election of seven directors from the current board of directors. Director D. Euan Baird has resigned from the NYSE board and will not stand for election; under the Exchange’s independence policy, Mr. Baird is no longer eligible to serve on the NYSE board following his re-election to the board of Societe Generale, which owns an NYSE member firm.
The proxy statement also discloses the compensation of the five most highly paid officers and proposes several constitutional amendments to strengthen the independence of the NYSE board of directors and the functional separation of the NYSE’s marketplace and regulatory functions.
