NYSE Names Edgar S. Woolard, Jr. To Board Of Directors

The New York Stock Exchange board has elected Edgar S. Woolard, Jr., retired chairman of DuPont, to its board of directors. Mr. Woolard takes the seat vacated by Mr. D. Euan Baird, who resigned April 23, 2004.

Mr. Woolard, 70, retired as chairman of the board of directors of DuPont in October 1997 and was a director until his retirement from the board in January 2000.

“I am pleased to welcome Ed to our Board of Directors,” said NYSE Chairman John S. Reed. “Ed brings with him tremendous insight, experience and leadership ability, which was evident during his successful career at DuPont. He will make an outstanding addition to our board.”

“John Reed and John Thain have made an excellent start and I am honored to join with them and the Board to continue improving the competitiveness and image of the New York Stock Exchange,” Mr. Woolard said.

Mr. Woolard’s career with DuPont lasted more than four decades. He was named chairman and chief executive officer in 1989. He had been elected president and chief operating officer in 1987; vice chairman in 1985; and executive vice president and member of the board of directors in 1983. He joined DuPont in 1957 as an industrial engineer.

He is a former director of Citigroup, IBM, Apple Computer, and Bell Atlantic Delaware. Mr. Woolard currently serves on the board of Telex Communications and as a trustee of the Christiana Care Corporation and the North Carolina Textile Foundation Inc. He is also former chairman of the Business Council. A former lieutenant in the U.S. Army, Mr. Woolard received a bachelor-of- science degree from North Carolina State University.

Mr. Woolard and his wife, Peggy, maintain residences in Wilmington, Del., and Palm Beach Gardens, Fla. They have two children and two grandchildren.

The NYSE will continue to screen the 110 candidates for board membership that were received in response to the Exchange’s public solicitation for nominations. Forty of these are under active consideration to serve on the Exchange’s board of directors, board of executives, and advisory committees.
