NYSE Members Approve Slate Of Directors - Board Of Executives Appointments Announced

York Stock Exchange members re-elected seven incumbents to the NYSE’s Board of Directors, according to certified results from yesterday’s annual meeting. A total of 941 members participated in the election, with votes in favor as follows: Madeleine K. Albright (815), Herbert M. Allison, Jr. (907), Marshall N. Carter (917), Shirley Ann Jackson (911), James S. McDonald (920), Robert B. Shapiro (916), and Dennis Weatherstone (915). They will serve until next year’s annual meeting, which is scheduled for April 7, 2005. The other members of the board are Chairman John S. Reed and Chief Executive Officer John A. Thain.

Board of Executives Announced

In other business, the Board of Directors (BoD) appointed members to serve on the Exchange’s Board of Executives (BoE). Appointed to the BoE for the first time were: Arthur D. Cashin, Jr., managing director, UBS PaineWebber Inc.; and Andrew Cader and William R. Power, lessor members. All others were re-appointed:

The NYSE members also approved several changes to the Exchange’s Constitution designed to strengthen governance and further separate the Exchange’s marketplace and regulatory functions. The amendments are included in the 2004 proxy statement, which is available in the “NYSE Governance” section of nyse.com.

Membership Vote Background

There were a total of 1,369 eligible votes held by members in good standing as of the meeting date, consisting of 1,365 regular members, three physical-access members, and two electronic-access members (one-half vote each). There are 951 lessor members. Of the lessor members, 265 are affiliated with member organizations. The unaffiliated lessor members consist of retired members, relatives of deceased members, estates, and others who have never been affiliated with members.
