The NYSE Board of Directors approved the appointment of Carly Fiorina, chairman and CEO, Hewlett-Packard Company; and Jeffrey W. Greenberg, chairman and CEO, Marsh & McLennan Companies, Inc. They join Louis C. Camilleri, chairman and CEO, Altria Group, Inc. and Mel Karmazin, president and COO, Viacom, Inc. in representing the listed-company community.
"The NYSE is privileged to have Carly and Jeff join our Board of Executives," said NYSE CEO John A. Thain. "We look forward to their contributions to the Exchange and believe their insights will be valuable."
The BoE comprises individuals whose affiliations or experience enables them to represent views and interests of member firms that deal with the public, specialist firms, trading floor brokers, lessor members, investors and listed companies.
The BoE meets at least six times a year to discuss Exchange performance, membership issues, listed-company issues and public issues relating to market structure and performance. The BoE meets with the Exchange's Board of Directors (BoD) in joint session several times annually, and provides the BoD reports of deliberations. BoE members serve on some joint committees with members of the BoD (but not on the Regulatory Oversight and Regulatory Budget Committee; Audit, Nominating and Governance; and Human Resources and Compensation Committees).
The BoD appoints individuals to the BoE annually, following the BoD's annual election each June. The current term of members of both boards expires in June 2004, and elections and appointments will be annual thereafter.
