NYSE Appoints Leroy M. Whitaker Vice President, Total Remuneration And Diversity

Date 04/05/2005

The New York Stock Exchange Board of Directors appointed Leroy M. Whitaker as vice president, Total Remuneration and Diversity.

In this newly created position, Mr. Whitaker, 48, will manage the design and implementation of all NYSE compensation and benefit programs including those for executives.  Additionally, Mr. Whitaker is the first officer tasked in the new corporate governance structure to assume responsibility for coordinating all corporate-wide diversity efforts.  He will coordinate the work of the NYSE Diversity Council, serve as a liaison with the NYSE floor member and Securities Industry Association diversity committees, and coordinate efforts that will include additional community outreach.

“Leroy brings with him a wealth of experience as a senior Human Resources executive driving compensation and benefits decisions,” said Dale Bernstein, NYSE senior vice president, Human Resources and Corporate Services.   “In addition, Leroy’s previous work with diversity programs makes him a natural fit to advance the Exchange’s already strong diversity program led by our Diversity Council.”

Prior to joining the NYSE, Mr. Whitaker was vice president, Compensation and Benefits at Ann Taylor Stores where he directed all compensation and benefits design for the company.  From 2001-2004, Mr. Whitaker was vice president, compensation and benefits at Bertelsmann Music Group where he had global responsibility for guiding company-wide strategy in compensation, payroll, benefits and HRIS.

Prior to joining Bertelsmann, Mr. Whitaker spent 13 years at Viacom Inc., most recently as vice president, Human Resources, where he managed employee relations, organizational consulting and diversity programs among other responsibilities.
