NYSE Announces Membership Vote Results On Governance Proposals And Slate of Directors

Certified results from yesterday's membership vote indicate that of 1,136 valid proxies and ballots received, 1,112 votes-almost 98%-were cast in favor of amendments to the NYSE Constitution. There were seven votes-less than 1%-cast against and 17 abstentions.

Votes in favor of the eight Director nominees were as follows: Madeleine K. Albright (1,063); Herbert M. Allison, Jr. (1,104); Euan D. Baird (1,126); Marshall N. Carter (1,125); Shirley Ann Jackson (1,114); James S. McDonald (1,126); Robert B. Shapiro (1,124); and Dennis Weatherstone (1,125).

Background

There were a total of 1,370 eligible votes held by members in good standing as of the Nov. 4, 2003 issuance date of the proxy statement; 1,365 regular members, four physical access members, and two electronic access members (one-half vote each).

As of Nov. 18, 2003, there were 1,365 regular members in good standing, including 965 lessor members. Of the total number of regular members, approximately one-half are affiliated with member organizations. The remaining half consist of retired members, relatives of deceased members, estates, and others who have never been affiliated with members.
