The three new candidates are Ellyn L. Brown, Alice M. Rivlin, and Karl von der Heyden. Ms. Brown, whose name was presented to the NYSE’s nominating and governance committee through a public nomination process, is a practicing securities attorney and former state securities commissioner for Maryland. Ms. Rivlin is a former vice chairman of the Federal Reserve and budget director in the administration of President Bill Clinton. Mr. von der Heyden is a former vice chairman and chief financial officer of PepsiCo.
Current directors standing for re-election are: Herbert M. Allison, Jr., Marshall N. Carter, Shirley Ann Jackson, James S. McDonald, Robert B. Shapiro, Dennis Weatherstone and Edgar S. Woolard. John A. Thain serves as a director as the CEO of the NYSE. Current directors not standing for election are Chairman John S. Reed and Madeleine K. Albright.
The NYSE constitution requires that all elected directors meet the Exchange’s independence guidelines. Directors are elected annually to one-year terms from a slate of nominees chosen by the board of directors based on the recommendations of the nominating and governance committee.
