Meeting Of The Board Of Oslo Børs On 28 February 2006

At its meeting on 28 February, the Board of Oslo Børs resolved to admit shares in B+H Ocean Carriers Ltd. and Block Watne Gruppen ASA to listing on Oslo Børs. At the same meeting the Board also reaffirmed its resolution of 24 January 2006 to impose a violation charge on Opticom. The Board therefore referred Opticom’s appeal against this decision to the Stock Exchange Appeals Committee.

B+H Ocean Carriers to be listed on the SMB List of Oslo Børs
The Board of Oslo Børs resolved to admit shares in B+H Ocean Carriers Ltd. to listing on the SMB List of Oslo Børs.

The Board stipulated that prior to the first day of listing the company must satisfy the requirements for the number of holders of one round lot or more of the company's shares set out in Section 2.4 .2 of the Oslo Børs Rules, publish a statement on the independence of its board of directors, cf. Section 2.3 .4 of the Oslo Børs Rules, and publish a prospectus that has been approved by Oslo Børs in accordance with Chapter 16 of the Stock Exchange Regulations. In addition, the company must enter into an agreement with Oslo Børs in respect of management companies, cf. Section 2-6 of the Stock Exchange Regulations, and also enter into a secondary listing agreement with Oslo Børs.

The Board authorised the President of Oslo Børs to fix the date of the first day of listing, which is to be no later than 14 April 2006.

Block Watne Gruppen to be listed on Oslo Børs
The Board of Oslo Børs resolved to admit shares in Block Watne Gruppen ASA to listing on Oslo Børs.

The Board agreed to exempt the company from the requirement that a listed company must have existed for at least three years, cf. Section 2-1 of the Stock Exchange Regulations. The exemption was granted since the business of the company has been in existence, but has been carried out by different legal entities.

The Board stipulated that prior to the first day of listing the company must satisfy the requirements for the number of holders of one round lot or more of the company's shares set out in Section 2.4.2 of the Oslo Børs Rules and for more than 25% of the shares to be admitted to listing to be held by the general public, cf. Section 2-1 of the Stock Exchange Regulations.

In addition, prior to be first day of listing the composition of the company's board of directors must satisfy the requirements of Oslo Børs for the independence of the board from the main shareholders of the company, its management and its main business connections. The company must also publish a prospectus approved by Oslo Børs.

The Board authorised the President of Oslo Børs to decide on which List the company will be included and to fix the date of the first day of listing, which is to be no later than 14 April 2006.

Opticom ASA – Appeal against the decision by the Board of Oslo Børs on 24 January 2006 in respect of a violation charge for a breach of the provisions of the equal treatment of shareholders and the duty to disclose information
The Board of Oslo Børs reaffirmed its decision of 24 January 2006 to impose a violation charge on Opticom ASA of eight times the company's annual listing fee, totalling NOK 880,000, for breaches of Section 5-2, first paragraph and Section 23-8 respectively of the Stock Exchange Regulations.

The Board referred the appeal to the Stock Exchange Appeals Committee.
