Meeting Of The Board Of Oslo Børs On 22 January 2003

Date 22/01/2003

At its meeting today, the Board of Oslo Børs resolved to uphold its previous decision to consolidate Orkla ASA and Nordstjernen Holding ASA in respect of the question of a mandatory offer for Elkem ASA. The Board also decided to transfer Blom ASA and Goodtech ASA from the Main List to the SMB List, and to transfer DOF ASA from the SMB List to the Main List.

Consolidation of Orkla and Nordstjernen
The Board of Oslo Børs decided at its meeting on 18 December 2002 that, for the purposes of the Securities Trading Act rules on mandatory offers, the ownership interests held by Orkla ASA and Nordstjernen Holding ASA in Elkem ASA should be consolidated. At its meeting today the Board considered an appeal by Orkla ASA against this decision, and resolved to uphold its previous decision.

The matter has now been referred to the Oslo Børs Appeals Committee. The appeal serves to delay the effect of the Board´s decision.

A more detailed account of this matter can be found in the press release issued by Oslo Børs on 18 December 2002. This press release is available on the Oslo Børs web site: www.ose.no.

Blom and Goodtech to transfer to the SMB List, DOF to the Main List
Following a review of the requirements for listing on the Main List and SMB List, the Board has resolved to transfer shares in Blom ASA and Goodtech ASA from the Main List to the SMB List, and to transfer shares in DOF ASA from the SMB List to the Main List.

These changes are the result of the exchange's routine reviews of company listings.

These changes will come into force from and including Monday 3 February 2003.

These decisions may be appealed to the Oslo Børs Appeals Committee. Any appeals must be submitted within two weeks.
