Meeting Of The Board Of Oslo Børs On 16 June 2004

At its meeting on 16 June 2004, the Board of Oslo Børs resolved to admit shares in Camillo Eitzen & Co., Conseptor, Teco Coating Services and Privatbanken to listing on Oslo Børs. At the same meeting the Board resolved to impose a violation charge on Q-Free ASA equivalent to four times the company’s annual listing fee, i.e. NOK 440,000, for a breach of the duty to provide information. The Board also resolved to remove shares in Kristiansand Dyrepark from listing with effect from and including 16 August 2004.

Camillo Eitzen & Co ASA to be listed on Oslo Børs

The Board of Oslo Børs resolved to admit shares in Camillo Eitzen & Co ASA to listing on Oslo Børs. The Board approved an exemption from the requirement that a company must have carried on the major part of its business for at least three years prior to listing. Admission to listing is conditional on the company achieving a sufficiently wide spread of ownership in terms of the number of shareholders holding at least one round lot and the extent of free float in the company’s shares.

The Board authorised the President of Oslo Børs to fix the date of the first day of listing, which is to be no later than 2 September 2004. The management of Oslo Børs was also authorised to decide whether the company should be listed on the SMB List or the Main List.

Conseptor ASA to be listed on the SMB List

The Board of Oslo Børs resolved to admit shares in Conseptor ASA to listing on the SMB List of Oslo Børs subject to the company achieving a sufficient number of shareholders holding at least one round lot and satisfactory free float in its shares. Admission to listing is also conditional on the company raising sufficient new capital in line with the planned increase in share capital of approximately NOK 80 million.

The Board authorised the President of Oslo Børs to fix the date of the first day of listing, which is to be no later than 2 September 2004.

Teco Coating Services ASA to be listed on the SMB List

The Board of Oslo Børs resolved to admit shares in Teco Coating Services ASA to listing on the SMB List of Oslo Børs. Admission to listing is conditional on the company achieving a sufficient number of shareholders holding at least one round lot and satisfactory free float in its shares.

The Board authorised the President of Oslo Børs to fix the date of the first day of listing, which is to be no later than 2 September 2004.

Privatbanken ASA to be listed on the SMB List

The Board of Oslo Børs resolved to admit shares in Privatbanken ASA to listing on the SMB List of Oslo Børs. Privatbanken will be required to produce a prospectus that satisfies the requirements of the Stock Exchange Regulations for a listing prospectus.

The Board authorised the President of Oslo Børs to fix the date of the first day of listing, which is to be no later than 2 September 2004.

Kristiansand Dyrepark ASA removed from listing

The Board of Oslo Børs resolved to remove shares in Kristiansand Dyrepark from listing with effect from and including 16 August 2004. This decision was made on the basis of a request by the company, cf. the minutes of the company’s annual general meeting held on 11 May 2004.

Violation charge imposed on Q-Free ASA for a breach of the duty to provide information

The Board of Oslo Børs resolved to impose a violation charge on Q-Free ASA equivalent to four times the company’s annual listing fee, i.e. NOK 440,000, for a breach of the duty to provide information in respect of the termination of a contract entered into in April 2002.

The matter in question relates to a breach of the duty to provide information set out in the Stock Exchange Act and the Stock Exchange Regulations in that the company received notification on 26 March 2004 of the cancellation of a contract between its wholly-owned subsidiary Q-Free Access AS and the English company Thales Information Systems, but failed to convey this information to the market until 16 April 2004. The company received notice of the cancellation of this contract verbally and by telefax on 23 March, and received confirmation of this by post on 26 March 2004. This was not communicated to the market until 16 April 2004 when the company issued a profit warning. The Board of Oslo Børs took the view that duty to provide this information to the market arose no later than 26 March 2004.

This decision may be appealed to the Oslo Børs Appeals Committee. Any appeal must be submitted within two weeks.
