MARF has admitted the first issue of mandatory convertible bonds in the history of this BME Fixed Income market. The pioneering operation was carried out by Ecoener and amounts to 15 million euros. With this issue, the company, which has been listed on the Spanish Stock Exchange since 2021, seeks to strengthen its financial structure and support the execution of its growth plan.
The issue has been subscribed by family offices that will become part of Ecoener’s shareholding in August 2029, when the bonds are converted into ordinary shares of the company, which helps to reinforce the company’s equity and financial strength.
Banca March acted as global coordinator and sole bookrunner for the operation, and will also serve as the registered advisor and paying agent for the issue. The law firm Latham & Watkins acted as the issuer’s legal advisor, while Roca Junyent advised the bookrunner.
Ecoener is a Spanish company specializing in the development, construction, and operation of renewable energy, with 815 MW across operating and under-construction assets and more than 37 years of experience in the sector. The company masters four technologies: wind, photovoltaic, hydroelectric, and storage.

MARF has 160 national and international issuing companies, and the outstanding balance of this market has grown to 10.4billion euros as of the end of June, 6.2% more than in the same period of the previous year.
