We hereby notify you in accordance with Part VI of the Companies Act 1985 (the "Act") that, following the acquisition (the "Acquisition") of 2,219,250 ordinary shares of 6 79/86 pence each in the London Stock Exchange Group plc (the "LSEG plc"):
(a)as at 19 May 2006, Nightingale Acquisition Limited ("NAL") was interested for the purposes of the Act in 54,225,405 ordinary shares of 6 79/86 pence each in the relevant share capital, as defined in section 198(2) of the Act, of the LSEG plc ("Relevant Shares") representing approximately 25.1% of the issued share capital of the LSEG plc. Prior to the Acquisition, NAL was interested in 52,006,155 Relevant Shares representing approximately 24.1% in aggregate of the issued share capital of the LSEG plc;
(b)we are or will be (once registration in the register of members of the LSEG plc has taken place) the registered holder of the Relevant Shares; and
(c)none of the Relevant Shares are shares in which we are interested by virtue of section 208(5) of the Act.
