Hong Kong Securities And Futures Commission Proceeds To Strengthen Targeted Tools To Tackle IPO-Related And Other Corporate Misconduct

Date 12/10/2026

The Securities and Futures Commission (SFC) will strengthen targeted tools under the Securities and Futures (Stock Market Listing) Rules (SMLR) in dealing with IPO cases and post-IPO matters to enhance both regulatory efficiency and investor protection in Hong Kong's listing market, according to its consultation conclusions published today (Note 1).

After receiving general market support of proposed amendments to the SMLR during consultation (Note 2), the SFC will proceed with the proposals after making certain clarifications and minor refinements that reflect respondents’ comments. It now expects the amended SMLR and related amendments to the Securities and Futures Ordinance to come into effect in the first quarter of 2027, subject to the legislative process (Note 3).

The amendments will enable the SFC to impose on listing applicants conditions that can continue to apply after listing and on listed issuers post-listing conditions as an alternative to immediate trading suspension, while streamlining resumption procedures.

Moreover, a new mechanism for an independent merits review through the Securities and Futures Appeals Tribunal will be introduced to strengthen procedural fairness and transparency regarding the SFC’s decisions made under the SMLR, including those related to imposition of conditions, trading suspension and resumption.

“The broad market support of the proposed enhancements demonstrates a shared commitment to maintaining a high-quality and resilient listing market in Hong Kong — essential to fortifying the city’s position as a leading international financial centre,” said Ms Christina Choi, the SFC’s Executive Director of Corporate Finance. “In line with our balanced and front-loaded regulatory approach, the enhanced toolkit would equip the SFC with more targeted and proportionate tools to address emerging risks before they cause harm to our markets, uphold market integrity and support quality growth.”

The SFC will arrange for gazetting the notice regarding the SMLR amendments together with the Government's notice regarding the amendments to Schedule 8 to the Securities and Futures Ordinance. Both notices will be tabled before the Legislative Council for negative vetting in the near future.

  3. Amendments to Schedule 8 to the Securities and Futures Ordinance are required to expand the scope of specified decisions reviewable by the Securities and Futures Appeals Tribunal to cover additional decisions made by the SFC under the SMLR.
